Gumption Invoicer End User Licence Agreement

This End User Licence Agreement ("Agreement") is between Gumption Software, a sole proprietorship registered in Ontario, Canada ("Gumption Software", "we", "us"), and the business or person who installs or uses Gumption Invoicer ("you").

By installing, activating or using Gumption Invoicer, or by ticking "I agree", you accept this Agreement. If you don't agree, don't install or use the Software.

2. Licence

When you've paid, and subject to this Agreement, we grant you a non-exclusive, non-transferable, perpetual licence to install and use the Software for your own business on up to two (2) Devices at a time for each Licence Code you buy.

You may move the licence to a different Device by deactivating it on the old one (License & Updates → License… → Deactivate) or by asking us to release the old Device.

The Software is licensed, not sold. Gumption Software keeps all ownership, copyright and other intellectual property rights in the Software. Any rights not expressly granted in this Agreement are reserved.

3. Free trial

You may use the Software free of charge to evaluate it. The Trial includes all features, up to a limit of ten (10) invoices. After that, creating new invoices requires a Licence Code. Your existing data stays yours: during and after the Trial you can still view, print and back up everything you've entered.

The Trial is provided so you can decide whether the Software suits your business before you buy.

You must not, and must not allow anyone else to:

  1. use one Licence Code on more than two Devices at a time, or share, publish or give away your Licence Code;
  2. sell, resell, rent, lease, lend, sublicense, transfer or assign the Software or your Licence Code to anyone else, including as part of selling your business;
  3. copy the Software, except for installing it on the Devices this Agreement allows and normal backups of your own data;
  4. reverse engineer, decompile or disassemble the Software, except to the extent the law expressly allows despite this restriction;
  5. remove, disable, get around or interfere with the activation, licence check, trial limit or update features;
  6. modify the Software or create works based on it;
  7. remove or change any copyright notice, trademark or other notice in the Software.

6. Price, payment and no refunds

The price is the one shown on our website when you buy. Payment is made by Interac e-Transfer. Your Licence Code is sent by email once we receive your payment.

All sales are final. We do not give refunds, except where the law requires us to. Please use the free Trial to make sure the Software fits your needs before you buy.

If a payment is reversed, cancelled or recalled, we may revoke the Licence Code it paid for.

7. Updates

All future updates to Gumption Invoicer are included with your licence at no extra charge, for as long as we make updates available. Updates download automatically in the background and install when you close the Software.

Updates may add, change or remove features. This Agreement, as updated from time to time, applies to every update.

Separate products that Gumption Software may release in the future (for example, a payroll or full accounting program) are not part of Gumption Invoicer and are not included in your licence, even if they can work together with it.

8. Support

Support is provided by email. We aim to answer within seven (7) days. We'll make reasonable efforts to help, but we can't promise that every issue can be fixed or that a fix will be available by a particular time.

The Software's calculations and reference information, including taxes, totals, reports and the diagnostic trouble code list, are provided to help you. You are responsible for checking them. This includes using the correct tax rates, meeting your tax filing obligations and making repair decisions. The Software is not a substitute for professional accounting, tax or legal advice.

12. Revocation and termination

This Agreement lasts until it is terminated.

We may revoke your Licence Code and end this Agreement if you breach it, if your payment is reversed, or if the Licence Code was obtained by fraud. When a Licence Code is revoked, the Software returns to Trial mode the next time it starts while online. Your data stays on your computer.

You may end this Agreement at any time by uninstalling the Software. The sections that by their nature should survive (including 5, 9, 11, 13, 14 and 15) continue after the Agreement ends.

13. No warranty

To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory. This includes any implied warranties or conditions of merchantable quality, fitness for a particular purpose and non-infringement. We don't promise that the Software will be error-free or uninterrupted, or that it will meet all your requirements.
